Nilay graduated from Istanbul University Faculty of Law in 2005 and was admitted to the Istanbul Bar Association in 2007. In 2009, she earned an LL.M. in Corporate Law from the London School of Economics and Political Science, supported by the Jean Monnet Scholarship.

Before establishing her own law firm, Nilay served as a partner in the Corporate and M&A practices at leading law firms in Türkiye, where she also headed their international practices.

Nilay has extensive experience in structuring and executing complex corporate and commercial transactions. Her expertise spans cross-border and domestic M&A transactions, including legal due diligence, as well as all stages from signing to closing and post-closing matters.

She advises international and local clients on both buy-side and sell-side M&A transactions. Nilay also focuses on representing private equity and venture capital firms in fundraising and equity financing activities, offering strategic legal guidance throughout the lifecycle of investments, including entry, growth, and exit stages. In addition, she represents clients—both lenders and borrowers—in banking and finance transactions, including the structuring of security arrangements.

Nilay actively follows digital and emerging technologies and contributes to relevant legal working groups. She has been recognized as one of Türkiye's leading legal practitioners in Corporate Law and M&A by Who’s Who Legal.
